Stephan Middelboe was the son of the merchant Oluf Omundsen Middelboe and Magdalene Marie, born Hindsholm. He became a student at Bergen School in 1751 and took his certificate in 1755. The following year he became personal chaplain (priest) in Askevold (Diocese of Bergen) with later bishop Frederik Arentz. Subsequently, Middelboe was for a short time assistant priest to diocesan provost Bützow in Copenhagen. He became field chaplain in 1762 and parish priest in Askevold in 1763.

Middelboe married Marie Kirstine Bildsøe, the eldest daughter of Dr. theol. P.M. Bildsøe. As bishop, P.M. succeeded Bildsøe to bring Middelboe to Aarhus as dean and parish priest at the Church of Our Lady in 1766. Stephan Middelboe served here for 15 years, until he became dean of Ribe in 1781 and later bishop in 1786. In 1779 he was awarded a theological doctorate at the University of Copenhagen on the occasion of the university's 300th anniversary.

Seven months after the death of his first wife, Marie Kirstine Bildsøe, on 2 February 1807, the 77-year-old bishop married Georgine Grubbe Kaas (1760-1835), who was the daughter of Commander Captain Malte Kaas. Georgine Grubbe Kaas had been a lady-in-waiting to the Russian princesses in Horsens. Due to his advanced age, Stephan Middelboe was dismissed as bishop in 1811.
